Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and TokScript ("TokScript," "we," "us," or "our") governing your access to and use of the TokScript website, web application, browser extension, API, and MCP server (together, the "Service").

By creating an account, checking the agreement box at signup, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you are using the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.

2. Service Description

TokScript is an AI-assisted transcription and data service that retrieves transcripts and related public metadata from TikTok, Instagram, and YouTube videos, and provides tools to organize, search, export, and access that data through the web application, browser extension, API, and MCP server.

The Service is provided on an "as is" and "as available" basis. We may add, modify, limit, or discontinue any feature at any time. Transcription output is generated automatically and is not guaranteed to be complete or accurate.

TokScript is an independent service. It is not affiliated with, endorsed by, or sponsored by TikTok, Instagram, Meta, YouTube, or Google. All trademarks are the property of their respective owners.

3. Accounts

You agree to provide accurate and complete information when creating an account and to keep it current. You are responsible for safeguarding your credentials, API keys, and access tokens, and for all activity that occurs under your account.

You must notify us at support@tokscript.com promptly if you become aware of any unauthorized use of your account.

4. User Responsibilities and Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

• circumvent, disable, or attempt to bypass usage limits, quotas, rate limits, authentication, or any security measure
• create multiple accounts to evade free tier limits or a suspension
• resell, sublicense, or redistribute the Service or its output as a substantially similar competing service
• share, publish, or transfer your API keys or access tokens to any third party
• use the Service to infringe intellectual property rights, violate privacy rights, or harass, defame, or harm any person
• use automated tools to overload, scrape, or abuse the Service beyond the access we provide
• reverse engineer, decompile, or attempt to derive the source code of the Service, except where that restriction is prohibited by law

We may suspend or terminate access for any violation of this section.

5. Content and Copyright

You are responsible for ensuring you have the right to submit, transcribe, and use any video content you process through the Service, and for complying with the terms of service of the platform the content originates from.

TokScript does not claim ownership of the content you submit or of the transcripts generated from it. You grant TokScript a limited, non-exclusive license to process, store, and transmit that content solely to operate and provide the Service to you.

If you believe content processed through the Service infringes your copyright, contact legal@tokscript.com with the information required under the Digital Millennium Copyright Act.

6. Plans, Usage Limits, and Billing

Free accounts include a limited allowance. Paid plans provide expanded access according to the plan selected at purchase.

Paid plans are subscriptions that renew automatically at the then-current price for the plan and interval you selected, whether monthly or annual, until cancelled. By subscribing, you authorize recurring charges to your payment method.

Payments are processed by Lemon Squeezy, which acts as the merchant of record for all purchases. Your purchase is also subject to the Lemon Squeezy buyer terms. Applicable taxes are calculated and collected by the merchant of record.

Lifetime and one-time purchases grant access to the plan features described at the time of purchase, for as long as the Service is operated, and are subject to the same acceptable use and refund terms as any other plan.

We may change pricing. A price change affecting an active subscription takes effect at the next renewal, and we will provide notice before it applies.

7. Refunds, Chargebacks, and Services Rendered

7.1 Immediate Delivery

TokScript is a digital service delivered instantly. The moment your account is created or a paid plan begins, the Service is made available to you in full for that billing period. Any use of the Service after that point, including a single transcript, extraction, download, export, API call, or MCP request, constitutes delivery, receipt, and acceptance of the Service for that billing period.

7.2 No Refund Once the Service Is Used

If you use the Service at any point between the start of a billing period and the next scheduled renewal date, the amount paid for that billing period is non-refundable.

This applies in full regardless of how much of the plan you used. If you exceed the free tier allowance, a paid plan activates, and you then process a single video, the Service for that billing period has been delivered and is not refundable.

7.3 Refunds Are at Our Sole Discretion

TokScript may, at its sole discretion, issue a partial or full refund. Any refund is evaluated case by case based on the recorded account activity for the period in question. Issuing a refund once creates no obligation to issue another and waives no part of this section.

Duplicate charges, verified billing errors on our side, and charges on an account that was never provisioned are governed by Section 7.7 and are not limited by Sections 7.1 through 7.3.

Because Lemon Squeezy is the merchant of record, it processes all refunds and may issue a refund independently under its own buyer terms. Any such refund is made by the merchant of record and does not modify these Terms, does not establish a course of dealing, and does not entitle you to a refund in any other period.

7.4 Activity Logs and Evidence

TokScript records and retains account activity, including account creation, the exact date and time you accepted these Terms, the version of the Terms you accepted, the IP address and user agent recorded at signup, plan changes, authentication events, transcript extractions, exports, downloads, and API and MCP requests, each with timestamps and associated metadata.

If you request a refund, initiate a chargeback, or open a payment dispute, you agree that TokScript may disclose and submit the following to the payment processor, the merchant of record, the card network, the issuing bank, or any other party adjudicating the dispute:

• your account records and the activity log described above
• the record of your acceptance of these Terms, including the timestamp, the version accepted, and the IP address and user agent recorded at signup
• a visual record of the signup screen as presented to you at the time of acceptance, which may include screenshots or a screen recording of the signup flow as it appeared on that date
• the payment, plan, and cancellation history for the account

You acknowledge that this record is created and retained in the ordinary course of business and that it is evidence that the Service was delivered to you and used by you.

7.5 What You Confirm at Signup

By checking the agreement box at signup, you confirm each of the following:

1. You have read and agree to these Terms and to the Privacy Policy.
2. You understand that the Service is digital and is delivered immediately.
3. You request that TokScript begin providing the Service immediately, and you acknowledge that once you use the Service in a billing period, the fee for that period is non-refundable.
4. Where applicable law grants you a cooling off or withdrawal period for digital services, you expressly consent to immediate performance and acknowledge that you lose that withdrawal right once performance begins.
5. You understand that your account activity is logged, that your acceptance of these Terms is timestamped and stored, and that both may be submitted as evidence in any refund request, chargeback, or payment dispute.

7.6 Chargebacks

Before initiating a chargeback, contact support@tokscript.com so the charge can be reviewed directly. Most disputes are resolved faster this way than through a bank.

A chargeback filed on a charge for a billing period in which the Service was used is a dispute of a service that was delivered and accepted. TokScript will respond by providing the full record described in Section 7.4 to the merchant of record and to any party adjudicating the dispute.

TokScript may suspend or terminate an account with an open or resolved chargeback, and may require the disputed balance and any dispute fees charged to TokScript as a result to be settled before the account is restored.

Nothing in these Terms removes any right you hold under applicable law or under your card network's rules.

7.7 Billing Errors

If you believe you were charged in error, including a duplicate charge, a charge after a confirmed cancellation, or a charge on an account that was never provisioned, contact support@tokscript.com within 30 days of the charge. Verified billing errors are refunded.

7.8 Cancellation

You may cancel at any time from your account settings. Cancellation stops future renewals. It does not refund the current billing period, and your access continues through the end of that period.

8. Service Availability

We aim for high availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, updates, or events outside our control, including changes made by third party platforms that affect our ability to retrieve content.

We do not guarantee that any specific platform, video, account, or content type will remain accessible through the Service.

9. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that transcripts or metadata are accurate, complete, or suitable for any particular use, or that the Service will meet your requirements.

10. Limitation of Liability

To the fullest extent permitted by law, TokScript and its officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service.

Our total aggregate liability for all claims arising out of or related to the Service shall not exceed the greater of one hundred United States dollars or the total amount you paid to us in the twelve months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations above apply to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless TokScript and its officers, employees, and contractors from any claim, demand, loss, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Service, your content, your violation of these Terms, or your violation of any law or third party right.

12. Account Suspension and Termination

We may suspend or terminate your account at any time for violation of these Terms, for suspected fraud or abuse, for an open or unresolved payment dispute, or as required by law.

You may delete your account at any time. On termination for any reason, your right to access the Service ends immediately. Sections 5, 7, 9, 10, 11, 14, and 15 survive termination.

Termination does not entitle you to a refund of any amount already paid, except as provided in Section 7.7.

13. Modifications to These Terms

We may modify these Terms at any time. Material changes will be communicated by email or by notice in the Service, and the "Last updated" date and version above will change.

Each version of these Terms is retained and remains retrievable. The version that applies to a given transaction is the version in effect and accepted at the time of that transaction. Continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.

14. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to the Service are governed by the laws of the State of California and the United States of America, without regard to conflict of law principles.

Subject to Section 15, you and TokScript agree that the exclusive venue for any dispute not subject to arbitration shall be the state and federal courts located in California, and you consent to personal jurisdiction there.

15. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

15.1 Informal Resolution First

Before filing any claim, you agree to contact legal@tokscript.com with a written description of the dispute and to allow 30 days for the parties to attempt to resolve it informally.

15.2 Binding Arbitration

If the dispute is not resolved within 30 days, any dispute arising out of or relating to these Terms or the Service shall be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, governed by the Federal Arbitration Act.

Arbitration shall take place in California, or by telephone or video conference, or through written submissions, at your election where the rules permit.

15.3 Exceptions

Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive relief in court to protect intellectual property rights or to address unauthorized access to the Service.

15.4 Class Action Waiver

You and TokScript agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.

If this class action waiver is found unenforceable as to a particular claim, that claim shall proceed in court and all other claims remain in arbitration.

15.5 Opt Out

You may opt out of this arbitration agreement by sending written notice to legal@tokscript.com within 30 days of first accepting these Terms, stating your name, the email on your account, and your intent to opt out. Opting out does not affect any other part of these Terms.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and TokScript regarding the Service and supersede any prior agreement on the same subject.

If any provision is found unenforceable, that provision shall be limited or severed to the minimum extent necessary and the remaining provisions remain in full force.

Our failure to enforce any provision is not a waiver of our right to enforce it later.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control.
